Bylaws of the South Carolina Organization of Problem Solvers (SCOOPS)

Article I: Name

The name of this organization shall be the South Carolina Organization Of Problem Solvers (SCOOPS).

Article II: Purpose

The purpose of this organization shall be to foster creativity, to encourage problem-solving skills, and to provide healthy competition among students in our state.

Article III: Membership

Membership will consist of all schools or organizations that have paid current membership fees as established by SCOOPS.

Article IV: Officers

Section 1. This organization shall be governed by a Board of Directors who shall elect one or two affiliate directors, a treasurer, and a secretary.

Section 2. The officers shall be elected by the Board to server two-year terms. Thers is no limit to the number of terms that an individual may serve. A term of office shall begin at the close of the meeting at which that individual is elected.

Section 3. No member shall hold more than one office at a time.

Article V: Board of Directors

Section 1. The Board of Directors shall reflect the following composition:

A brief job description will be available for each position.

Section 2. Each region shall have a minimum of three representatives on the Board.

Section 3. A Board member shall serve a two-year term. There is no limit to the number of terms an individual may serve.

Section 4. Current Board members shall nominate and select individuals to fill Board vacancies.

Section 5. The Board shall hold at least three (3) meetings during each academic year.

Section 6. All Board members shall serve without compensation. They shall be allowed reasonable advancement or reimbursement of expenses incurred in the performance of duties.

Article VI: Committees

Committees shall be organized to plan and to sponsor annual competitions, to train team managers and appriasers for competitions, to establish rules for the competitions, to interpret problems, and to approve policies pertaining to the management and execution of the objectives of this organization.

Article VII: Parliamentary Authority

The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern the organization in all cases in which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order the organization may adopt.

Article VIII: Financial Status and Funding

Section 1. This organization shall be established and shall function exclusively for charitable and educational purposes as a not-for-profit (501c3) organization in accordance with federal and state regulations.

Section 2. In the event that this organization is disbanded or ceases to exist, all remaining funds will be allocated to one or more not-for-profit organizations selected by a majority of current Board members.

Article IX: Amendment of Bylaws

These bylaws can be amended at any regular meeting of the organization by a two-thirds vote of all current voting Board members voting via presence, US Postal Service, phone, or internet within 7 calendar days of proposal, not counting the day of proposal.

Article X: Definition of a Quorum

A quorum will consist of 50% of the current voting Board members, plus 1, voting via presence, US Postal Service, phone, or internet within 7 calendar days of proposal, not counting the day of proposal. A quorum has the ability to make adminstrative decisions including, but not limited to, deciding upon dates, locations, and events.
